Google to Acquire Mandiant

Mandiant Inc ($MNDT@US) has announced that it will be acquired by Google for $23 per share. The all-cash transaction will be valued at $5.4 billion. The value of the acquisition represents a 57% premium that Google ($GOOGL@US) has placed on Mandiant’s business. After the completion of the sale, Mandiant will join the Google Cloud family. Previously, Mandiant offered 18 years of cutting-edge threat intelligence to its clients. The company features hundreds of consultants who respond to security breaches every day, using research the company provides on a daily basis. Because cybersecurity comes closer to the forefront of the conversation every day, Mandiant offers the level of customer care and security intelligence that Google Cloud needs. Mandiant CEO Kevin Mandia said, “Together, we will deliver our expertise and intelligence at scale via the Mandiant Advantage SaaS platform, as part of the Google Cloud security portfolio.” At press time, Mandiant stock was up more than 16% in early activity.
